Creator Terms

These Creator Terms apply to anyone approved to publish and sell on HUDSUPP, which is run by Dafter Punk Technologies ("HUDSUPP", "we", "us"). They are in addition to our Terms of Use, Privacy Policy and Refund and Cancellation Policy. If they conflict on a point about creators, these Creator Terms win. You accept them when you tap Request creator access.

1. Becoming a creator

Anyone can sign up as a learner. To publish and sell, you request creator access in your account. We approve creators manually and can decline or withdraw approval.

You must be at least 18. You must give us accurate profile, PAN and payout details at onboarding, and your GST number if you are registered. Keep them up to date.

You are an independent creator, not an employee, agent or partner of HUDSUPP.

[These terms apply during the founding-creator pilot, which runs for 60 days from launch, and afterwards unless we change them under section 9. Confirm wording.]

2. Your content and licence

You keep ownership of the Blueprints you create.

You license your Blueprints to HUDSUPP on a non-exclusive basis, so we can host, display, promote and deliver them through HUDSUPP, and sell learners access to them.

No selling elsewhere. You may not sell a paid Blueprint listed on HUDSUPP on any other platform while it is listed here. You are free to publish or share the same Blueprint elsewhere, for example for free.

Original work only. Do not include copyrighted material you have no right to use, such as other people's music, samples, stems, presets, plugin files, paid course content, or text and screenshots copied from someone else's work. Audio previews must be your own work, or material you are free to use.

You confirm that you own or have the rights to everything you publish. You are responsible for claims arising from your content. [Lawyer to confirm indemnity wording.]

If a learner has bought access to a Blueprint, we may keep delivering it to that learner even if you later unpublish it or leave HUDSUPP. Learners who bought a Creator Pass keep that access permanently.

[We may use your name, photo and Blueprint previews to promote HUDSUPP and your profile. Confirm.]

3. What you can sell

Blueprints: free or paid. Paid Blueprints show steps 1 and 2 to everyone and lock the rest until a learner buys access.

Creator Pass: fixed at not available, one-time. It unlocks all your paid Blueprints, including new ones. [Whether you can cap the number of Creator Passes is still to be decided.]

1:1 pass: fixed at not available. You agree scope with the learner in a message thread (what is included, how many Blueprints, the time frame), then send an offer card. You can edit the card until the learner pays. After that it is locked. Slots are limited per creator [number to be set].

Prices are set by HUDSUPP during the pilot. You cannot change them.

Blueprint format limits, such as the maximum number of steps, are set by HUDSUPP and may change.

4. How your earnings work

HUDSUPP sells access to learners and collects the payment. You earn a share of each sale:

Your share = the sale price excluding any GST, less HUDSUPP's commission, less the payment gateway fee.

Commission: no commission rate is available, so an example is not shown. [Founding-creator rate and how long it lasts: to be confirmed.] We may change the commission for future sales (section 9).

Gateway fees are passed to you. They are deducted from your share.

HUDSUPP is not currently registered for GST, so no GST is added to prices.

Worked examples use the commission recorded for a new sale. The gateway fee is whatever the payment provider charges for that payment. It is not a fixed amount.

5. Hold period and payouts

Each sale is held for 21 days from the purchase date before it becomes payable. This covers the 7-day refund window and leaves time for payment reversals.

Payouts are made manually once a month, on or around the [day] of the month, for sales whose hold has ended. We mark each payout as paid.

You get a monthly statement showing your sales, commission, any tax deducted, and the amount paid.

If a learner is refunded, you earn nothing on that order. During the pilot, HUDSUPP absorbs the gateway fee on refunded orders.

While a 1:1 dispute is open, we may hold the payout for that order until it is resolved.

6. Tax

You are responsible for your own taxes on what you earn.

You must give us your PAN, and your GST number if you are registered. Without them we may be unable to pay you.

If the law requires HUDSUPP to deduct tax from your payout, we will deduct it and show it on your monthly statement. [CA to confirm what applies.]

7. Learners and 1:1 delivery

You see learners by first name and last initial only. We do not share their email, phone number or other contact details. Do not try to get them, and do not use learner information for anything outside HUDSUPP.

For a 1:1 pass, deliver what the offer card says, within the time frame on it. Keep the conversation and the payment on HUDSUPP. Do not move a 1:1 agreement or its payment off the platform.

If a learner raises a problem, you have 7 days to fix it. If it is not fixed, we review the locked offer card and the message thread and decide on a full, partial or no refund. Our decision can reduce or withhold your payout for that order.

8. Removal and leaving

You can unpublish a Blueprint or leave HUDSUPP at any time. Learners who already bought access keep it.

We may remove content, suspend or close your account if you break these terms or the Terms of Use, infringe someone's rights, or are required to by law.

Earnings that are past the hold period and not in dispute will still be paid after you leave or are removed, less any amount we are entitled to keep. [Lawyer to confirm.]

9. Changes

We may change these Creator Terms, including the commission rate, for future sales. We will give you [30] days' notice by email or in the app. If you do not agree, you can stop selling before the change takes effect. Sales made before the change keep the old terms.

10. Governing law and contact
